Terms & Conditions

Last updated: 7 May 2026 · Please read these terms before using our site or engaging our studio.

These terms govern use of this website and set out the general framework for how we work with clients. Specific projects may also be subject to a separate written agreement, statement of work, or proposal that takes precedence where it explicitly overrides these terms.

1. Agreement

By using this website, submitting an enquiry, or instructing us to provide services, you agree to these Terms & Conditions. If you do not agree, you should not use our website or services.

2. Who we are

UX UI MATE is a digital studio offering UX design, UI design, branding, and web-related services. We operate from Newcastle, United Kingdom and Sofia, Bulgaria. Contact: hello@uxuimate.com or our contact page.

3. Website use

You may browse our website for lawful purposes. You agree not to misuse the site (for example by attempting unauthorised access, introducing malware, scraping in a way that harms performance, or using the site to harass others). We may suspend access where we reasonably believe there is a breach.

Content on this site (text, visuals, case studies, and layout) is owned by us or our licensors unless stated otherwise. You may not copy, reproduce, or redistribute it for commercial purposes without our written permission, except as allowed by law.

Our website uses a cookie banner for analytics. By clicking Accept or continuing to use the website after the cookie notice appears, you agree to analytics cookies as described in our Cookie Policy. You can reject analytics cookies using the banner controls.

4. Services and reliance on information

Descriptions of services on this website are for general information. They do not form a binding offer. A contract is formed only when we confirm acceptance in writing (for example by email or signed agreement) and any agreed deposit or conditions are met.

Case studies and metrics are illustrative of past work and are not a guarantee of future results for your project.

5. Client responsibilities

To deliver work efficiently, clients agree to:

  • Provide accurate information and timely feedback;
  • Ensure they have rights to any materials they supply (logos, copy, images, third-party assets);
  • Comply with applicable laws (including marketing, accessibility, and data protection) in their use of deliverables we provide.

6. Fees, payment, and expenses

Fees, milestones, and payment terms are set out in your proposal, invoice, or contract. Unless agreed otherwise, invoices are payable in the currency and timeframe stated on the invoice. Late payment may incur statutory interest and suspension of work. Third-party costs (licences, fonts, stock, hosting paid on your behalf) are typically recharged as agreed in advance.

7. Intellectual property

Unless a written agreement states otherwise:

  • We retain ownership of our pre-existing tools, templates, know-how, and generic components;
  • Upon full payment of agreed fees for a deliverable, we grant you a licence or assignment of rights as specified in your contract (often assignment of bespoke UI/brand assets created specifically for you, excluding third-party materials which remain subject to their own licences).

Until payment is received in full, we may withhold final source files or native design files where that has been agreed as a commercial condition.

8. Revisions and scope

The number of revision rounds and the scope of work are defined in your proposal or statement of work. Changes outside that scope may be quoted separately.

9. Confidentiality

We treat non-public information you share for the purpose of a project as confidential and use it only to deliver the agreed services, unless you consent otherwise or we are required by law to disclose it.

10. Warranties and liability

We provide professional services with reasonable skill and care. Except where prohibited by law, we exclude implied warranties to the fullest extent permitted. Our total liability arising out of or in connection with a project is limited to the fees paid to us for that project in the twelve (12) months before the claim, except that nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.

We are not liable for indirect or consequential loss (including loss of profit, revenue, goodwill, or data) except where such exclusion is not allowed by law.

11. Termination

Either party may terminate an engagement in line with the termination provisions in the relevant contract. Where work is terminated, you will pay for work completed and committed costs up to the date of termination unless the contract says differently.

12. Force majeure

We are not liable for delay or failure to perform caused by events outside our reasonable control (including strikes, utility failures, pandemics, or supplier outages).

13. Governing law and jurisdiction

These terms and any dispute arising from them or from our services are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have as a consumer in your country of residence.

14. Changes

We may update these terms from time to time. The "Last updated" date will change accordingly. Continued use of the website after changes constitutes acceptance of the updated terms for website use; existing client contracts remain governed by the version agreed at the time unless we agree a variation.
